This website (the “Website”) is owned and operated by Healthy Minds Canada (“HMC”) (“we”, “our” or “us”) for the purposes described in these Terms and Conditions of Use (the “Terms of Use”).

AGREEMENT WITH HMC, QUALIFICATIONS. It is important that you carefully read all of the Terms and Conditions of Use (“Terms of Use”) before using the Website, as by using the Website, you are agreeing to comply with and be legally bound by the Terms and Conditions, as revised from time to time. Please note that HMC may revise these Terms of Use at any time and your continued use of the Website after a revision will constitute acceptance of the revised Terms of Use. The date on which these Terms of Use were last revised appears at the top for your ease of reference.

HMC DISCLAIMER. The Website is provided “as is” and “as available”. HMC may withdraw or modify the Website at any time without notice, and will not be liable if, for any reason, the Website is unavailable at any time, for any period or ceases to exist. Your use of the Website is at your own risk, and you are solely responsible for your actions and communications while using the Website.

The Website is not guaranteed to be error-free or uninterrupted and you are solely responsible for any damage to your computer system or loss of data that results from your use of the Website. HMC, their services providers, suppliers and licensors assume no responsibility, make no representations, and provide no warranties, guarantees, covenants or conditions, express or implied (either in fact or by operation of law) or statutory, including, without limitation, with respect to the availability, freedom from computer viruses, non-infringement of the Website, timeliness, quality, accuracy, reliability, currency, completeness, merchantability, fitness for a particular purpose or results obtained from using the Website.

INTELLECTUAL PROPERTY. HMC or its licensors own all intellectual property rights in the Website and its content, including, without limitation, all copyright and trademark rights, as applicable, in the underlying software, graphical user interfaces, images, text, documents, logos, designs, photographs and the arrangement of the content on the Website, code, trademarks, product names, software and the Website’s general look and feel. HMC reserves all rights that are not specifically granted under these Terms of Use.

You may copy any portion of the Website (except for any content that is identified as belonging to a party other than HMC) for your personal, non-commercial use only, on the condition that you retain all copyright and other proprietary notices and disclaimers relating to the content on the copy that you make. You may also make a copy of any information that you create in using the Website.

Other than as expressly provided above: (i) you may not copy the Website, or any part of the Website, or create any derivative work based on the Website, without the prior written consent of HMC; and (ii) nothing contained in these Terms of Use should be interpreted or construed as granting you a licence or right under a copyright that we own or that is owned by any third party or under any of our patents or trademarks or those of any third party. You use any external website or resource at your own risk and it is your responsibility to protect yourself and to take measures to guard against harm, including, but not limited to, computer viruses and other destructive elements that may suffer as a result of your use of such websites and resources.

PERSONAL INFORMATION, PRIVACY. HMC appreciates the importance of protecting privacy and the confidentiality of personal information. The Website privacy policy (the “Policy”) describes the purposes for which HMC will use and disclose Personal Information (as defined in the Policy) that you may provide through the Website. Any information that is not Personal Information that you choose to provide through the Website (including general suggestions about the Website) will be understood to be non-confidential information that HMC will be free to use, reproduce and disclose as we see fit, and we will have no obligation to you with respect to that information. For example, we will be free to use any ideas, concepts, know-how or techniques included in information that you provide through the Website for any purpose whatsoever, and you warrant that any such information does not infringe the intellectual property rights of any third party. UNAUTHORIZED USE OF THE WEBSITE. It is prohibited to use the Website in an unauthorized manner or for unauthorized purposes, including, without limitation: in a manner that infringes the rights of, restricts or inhibits anyone else`s use or enjoyment of the Website; for the purpose of disseminating unlawful or objectionable material or obtaining unauthorized access to or interfering with HMC’s computer systems or those of our service providers, or violating applicable laws or regulations.

Accessing the Website from locations where its content is illegal is prohibited. If you choose to access the Website from outside of Canada, you are doing so on your own initiative and are responsible for compliance with local laws.

HMC will investigate suspected illegal activity in connection with the Website and other unauthorized use of the Website, and may involve and co-operate with law enforcement authorities in regard to such investigation and to take action against users of the Website involved in these activities.

LIMITATION OF RESPONSIBILITY & LIABILITY OF HMC. HMC will not be liable to you for any loss or damage whatsoever, including without limitation, damages for loss of information, programs or data, loss of reputation, loss of revenue, loss of savings, loss of profit, loss of goodwill, or for direct, indirect, special, incidental, consequential, punitive or exemplary damages, however caused or arising (even if we have been notified of the possibility of the damage or loss, or if the damage or loss was foreseeable).

INDEMNIFICATION. You agree to indemnify and hold HMC harmless from and against (pay or reimburse HMC in relation to) any and all losses, damages, liability and costs resulting directly or indirectly from any claim or demand against HMC arising out of or related to your use of the Website, your violation of these Terms of Use, or your violation of applicable law.

OTHER TERMS. The failure of HMC to exercise or enforce any right it has under these Terms of Use or any provision of these Terms of Use will not be considered a waiver by HMC of that right or provision. If any provision or portion of these Terms of Use is found by a court, with jurisdiction in Canada or a Province of Canada, to be invalid or unenforceable, you nevertheless agree that the court should endeavor to give effect to the intentions reflected in the provision, and that the other provisions of these Terms of Use will remain in full force and effect.

These Terms of Use (as they may be amended from time to time) constitute the entire agreement between you and HMC regarding the Website and your use of the Website, and supersede all other communications, representations or agreements, either oral or written, with respect to these matters.

These Terms of Use will be interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario (other than any conflict of laws rules that would result in the choice of laws of another jurisdiction), and you agree to submit to the exclusive jurisdiction of the courts of Ontario in connection with any matter arising out of or relating to the Website or your use of the Website.
